Terms of Service

The terms an institute agrees to when it runs a pilot or subscribes to Vidya Vault: the service, the teacher's final say on every mark, data, acceptable use, payment, liability, suspension and termination.

Effective 27 October 2026

01The agreement

These terms are between Divyavyoma Technologies Private Limited ("we") and the institute that uses Vidya Vault ("you"). The person who accepts them confirms they are authorised to bind the institute. An order form or written proposal we agree with you — the plan, the number of students or sheets, the price and the term — forms part of the agreement and prevails over these terms where they differ.

02The service

Vidya Vault lets your teachers scan handwritten answer sheets, reads each answer, proposes a mark against your marking scheme with a note explaining it, and puts every proposal in a review queue. From approved marks it produces results and reports for students and parents.

We set up a pilot or a subscription with your teachers, and support you by email and WhatsApp during working hours (Monday to Saturday, 09:00–19:00 IST).

03Teachers decide every mark

Vidya Vault proposes; your teachers decide. A proposed mark is not a result until a teacher has approved or changed it, and the service is built so that no mark reaches a student or parent without that approval.

Reading handwriting is not perfect, and a proposal can be wrong. You remain responsible for the marks you publish and for any decision based on them. We do not guarantee that a proposal is correct, and we are not responsible for a mark a teacher approved.

04Pilots

A pilot is free for one full exam cycle, set up with your teachers. It carries no obligation to subscribe. If you do not continue, your pilot workspace is handled as described under “When it ends” below.

05Your data

Everything you put into Vidya Vault — students, answer sheets, schemes, marks and reports — remains yours. You are the Data Fiduciary for it under the Digital Personal Data Protection Act, 2023, and we process it only to provide the service to you, as described in our Privacy Policy.

You confirm that you have a lawful basis for the data you add, and in particular that you have given the notice and obtained the verifiable consent of a parent or lawful guardian that the Act requires before adding a child's data.

We may use counts and measurements about how the service performs — never content that identifies a student — to keep it running and improve it.

06Acceptable use

You will not use Vidya Vault to upload anything you have no right to, to try to reach another institute's data, to probe or overload the service, or to resell it without our written agreement. Accounts are for named people; keep credentials private and tell us at once if one is misused.

07Fees and payment

Fees are as agreed in your order form, in Indian rupees, plus GST, invoiced by Divyavyoma Technologies Private Limited. Invoices are due within 15 days.

If an invoice is unpaid 15 days after its due date, we may suspend the service after written notice. We do not delete anything because of late payment while the agreement is in force. We may change prices for the next term with 30 days' written notice; prices do not change during a prepaid term.

08Term, suspension and termination

A subscription runs for the term in your order form and renews for the same period unless either of us gives 30 days' written notice. Either of us may end the agreement if the other materially breaches it and does not fix the breach within 15 days of written notice.

We may suspend access immediately, and tell you why at once, if an account is being used to attack the service or reach other institutes' data, or if the law requires it.

09When it ends

When the agreement or a pilot ends, you can export your results and reports. We keep your workspace for 30 days after the end date so you can, then delete it; backup copies expire within a further 35 days. We keep invoices and contract records as tax and company law require.

10Liability

Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue or goodwill.

Our total liability for all claims in connection with Vidya Vault is limited to the fees you paid us in the three months before the event that caused the claim. During a free pilot it is limited to ₹10,000.

These limits do not apply to fraud, breach of confidentiality, your payment obligations, or anything the law does not allow to be limited.

11Changes to these terms

We may update these terms. We will tell subscribing institutes by email at least 30 days before a change that affects them takes effect; it applies from the next term, and you may end the agreement before then if you do not accept it.

12Law and disputes

These terms are governed by the laws of India. If we disagree, we first try to settle it in good faith within 30 days of one side raising it in writing. If that fails, the courts at Ahmedabad, Gujarat have exclusive jurisdiction.
